1. Acceptance of Terms

By accessing or using MarketJournal ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service. Your continued use of the Service constitutes ongoing acceptance of these terms and any future modifications.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Description of Service

MarketJournal is a trade journaling and analytics platform that helps traders log trades, analyze performance, and receive AI-powered coaching. The Service includes free and paid subscription tiers. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice or liability.

4. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to update your information to keep it current. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.

5. Free and Paid Plans

Free accounts include limited access to AI-powered features (10 AI chart analyses, 10 AI coaching reports, and 10 AI trade analyses). Pro subscriptions provide unlimited access to all AI features and are billed monthly through Stripe. You may cancel your subscription at any time from your account settings. We reserve the right to change pricing, features, or usage limits at any time with reasonable notice.

6. Payments and Refunds

Pro subscriptions are billed on a recurring monthly basis. All payments are processed securely by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Refund requests may be made within 7 days of a billing charge by contacting us. We reserve the right to deny refund requests made after this period. Failure to pay may result in suspension or termination of your account.

7. User Content

You retain ownership of all data you enter into the Service, including trade entries, journal notes, and chart images. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process your data solely for the purpose of providing the Service (e.g., generating analytics and AI analysis). We will not share, sell, or use your data for any other purpose. You are solely responsible for the accuracy and legality of the content you submit.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble the Service
  • Use automated tools to scrape or extract data from the Service
  • Resell or redistribute access to the Service
  • Upload malicious code, viruses, or harmful content
  • Impersonate another person or misrepresent your affiliation
  • Use the Service to commit fraud or market manipulation
  • Circumvent any usage limits, rate limits, or access controls

Violation of these terms may result in immediate account suspension or termination without notice or refund.

9. Not Financial Advice

MarketJournal is a journaling and analytics tool only. Nothing provided by the Service — including AI coaching, AI chart analysis, AI trade analysis, performance metrics, analytics, or any other content — constitutes financial advice, investment advice, trading advice, or any other form of professional advice. AI-generated insights are produced by third-party language models and may be inaccurate, incomplete, or misleading.

You acknowledge and agree that: (a) MarketJournal is not a registered investment advisor, broker-dealer, or financial planner; (b) no fiduciary relationship exists between you and MarketJournal; (c) all trading and investment decisions are made solely by you at your own risk; (d) you should consult a qualified financial professional before making any investment decisions; and (e) past performance shown in the Service does not guarantee future results.

MarketJournal expressly disclaims all liability for any trading losses, financial losses, or damages of any kind arising from your use of or reliance on any information provided by the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, ANALYTICS, OR DATA PRESENTED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKETJOURNAL, ITS OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, FINANCIAL LOSSES, DATA LOSS, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY AI-GENERATED CONTENT OR ANALYSIS; (C) UNAUTHORIZED ACCESS TO YOUR DATA; (D) ACTIONS OF THIRD-PARTY SERVICES; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless MarketJournal, its operators, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any trading decisions you make based on information from the Service; or (e) any content you submit to the Service.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures in the state of California, United States. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against MarketJournal.

JURY TRIAL WAIVER: To the extent permitted by law, you waive any right to a jury trial in any legal proceeding arising out of or related to these Terms or the Service.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

15. Intellectual Property

The Service, including its design, logos, text, graphics, software, and all other content (excluding user-submitted data), is the property of MarketJournal and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

16. Third-Party Services

The Service integrates with third-party providers including Clerk, Stripe, OpenAI, Supabase, Amazon Web Services, and Vercel. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or policies of any third-party services, and you release us from any liability arising from your use of such services.

17. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms. You may delete your account at any time by contacting us. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your data within 30 days; (c) no refunds will be issued for the current billing period; and (d) provisions of these Terms that by their nature should survive termination shall survive (including but not limited to indemnification, limitation of liability, and dispute resolution).

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MarketJournal regarding your use of the Service and supersede all prior agreements, representations, and understandings. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

20. Changes to Terms

We may update these Terms of Service at any time. We will notify users of material changes by posting the updated terms on this page with a revised date. Continued use of the Service after changes are posted constitutes acceptance of the new terms. If you do not agree with the updated terms, you must stop using the Service and delete your account.
